Terms and Conditions

Your acceptance of products purchased from Meshify constitutes acceptance of Meshify’s standard warranty terms and conditions, which are described below.

Warranty Terms

Meshify, Inc. (“Meshify”) warrants that for a period of one (1) year following delivery, the Meshify products you have purchased (the “Meshify Products”) will (a) perform in accordance with published specifications, and (b) will be free from defects in materials or workmanship. In the event a Meshify Product does not meet this warranty, subject to the conditions set forth in these terms and conditions, Meshify’s sole obligation will be, at its election, to repair or replace the Meshify Product in question or to refund the purchase price.

MESHIFY MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED. IN NO EVENT WILL MESHIFY BE LIABLE FOR PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR AN AMOUNT IN EXCESS OF THE PURCHASE PRICE OF THE DEFECTIVE MESHIFY PRODUCT OR PRODUCTS.
 

This warranty will not apply to any Meshify Products that have been (a) damaged by lightning, water, or power surges, (b) neglected, altered, abused, or used for a purpose other than the purpose for they were provided, (c) repaired by you or any other party without Meshify’s prior written authorization, (d) used in conjunction with a third party product or products not approved in advance by Meshify, or (e) otherwise used in a manner inconsistent with any instructions provided by Meshify.

In the event that Meshify repairs or replaces a defective Meshify Product under warranty, the repaired or replaced product will be covered through the end of the original warranty period, but no repair or replacement will extend the warranty term past the one (1) year anniversary of the delivery date of the original Meshify Product.

This warranty contains the entire agreement of you and Meshify with respect to any warranty matters, and supersedes any and all other written or oral statements, representations or agreements relating to the subject matter of this warranty, except that (if applicable) the terms and conditions of any other warranty or service agreement between you and Meshify that explicitly supplements or incorporates, and does not replace or modify, the terms and conditions of this warranty will also apply to the Meshify Products you have purchased. To the extent any other warranty or service agreement between you and Meshify expressly replaces or modifies the terms and conditions of this warranty, such replaced or modified terms shall not apply unless accepted by you (or your distributor, if applicable) and Meshify in a signed writing (e.g., the Extended Warranty Services Agreement). You should note that if you are interested in obtaining either an extended warranty or an extended warranty with overnight replacement service, you must notify Meshify of the same and execute an agreement specified by Meshify within 60 days of your purchase of the Meshify Products for which you are seeking coverage. If you purchased the Meshify Products from a party other than Meshify, Meshify reserves the right to require proof of purchase to verify the timeliness of your request.

Any and all disputes arising out of or relating to the purchase or use of Meshify Products, including any warranty claims, will be governed by the laws of the State of Texas without regards to conflicts of laws principles. Any action arising out of or relating to the Meshify Products must be brought only the Federal and state courts located in the State of Texas, and by accepting the Meshify Products, you hereby consent to the personal jurisdiction of such courts and agree not to raise any argument of lack of personal jurisdiction or inconvenient forum or otherwise attempt to transfer such action from, or dispute the jurisdiction of, such courts. YOU HEREBY WAIVE THE RIGHT TO A JURY TRIAL.

Return Procedures

You are required to arrange for and pay the shipping charges to return any defective Meshify Products to Meshify. Meshify will use commercially reasonable efforts to repair the defective Meshify Products within ten (30) business days. Meshify will arrange for and pay ground shipping charges for all products replaced or returned to you within the United States. Any other shipping charges are your responsibility. Meshify does not offer on-site service to repair any defective Meshify Products or to resolve any problems relating to the installation of repaired or replacement products. Meshify will, however, provide on-line support and troubleshooting. Meshify’s technical support number is (844) MESHIFY (1-844-637-4439).

Repair Procedures for U.S. and Canadian Customers

In the event that service is required, products may be shipped, freight prepaid, to our Houston, Texas location:

A Returned Materials Authorization (RMA) is not required. Return shipping charges (surface) will be paid by Meshify to destinations in U.S. and Canada.

Please include, inside the shipping box, a description of the problem, a return shipping address (must have street address, not P.O. Box), and your telephone number. If the product is out of warranty, a payment in advance is required. Acceptable means of payment include credit card, wire transfer or a check in U.S. dollars drawn on a U.S. Bank.

Out-of-warranty repairs will be charged according to the Schedule of Fees.

Questions regarding technical matters, product configuration, verification that the product is defective, etc., should be directed to our Technical Support department. Technical support is available Monday-Friday, 8:00 am to 5:00 pm Central Time.

Please direct your questions regarding repair expediting, receiving, shipping, billing, etc., to our Repair Accounting department or call 844-MESHIFY (1-844-637-4439) for repairs. Repairs for damages caused by lightning storms, water, power surges, incorrect installation, physical abuse, or user-caused damages are billed on a time-plus-materials basis.

Repair Procedures for International Customers
(Outside U.S.A. and Canada)

Your original point-of-purchase Reseller may offer the quickest and most economical repair option for your Meshify product. You may also contact any Meshify sales office for information about the nearest distributor or other repair service for your Meshify product.

 

In the event that factory service is required, products may be shipped, freight prepaid to our Houston, Texas factory. Recommended international shipment methods are via Federal Express, UPS or DHL courier services, or by airmail parcel post; shipments made by any other method will be refused.

Please include, inside the shipping box, a description of the problem, a return shipping address (must have street address, not P.O. Box), and your telephone number. If the product is out of warranty, a payment in advance is required. Acceptable means of payment include credit card, wire transfer or a check in U.S. dollars drawn on a U.S. Bank. Repaired units shall be shipped freight collect, unless other arrangements are made in advance.
